These Terms & Conditions (“Terms”) govern your access to and use of Manor Keeper’s websites, applications, and related services (collectively, the “Service”). By creating an account, clicking to accept, or using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization.
1. The Service
Manor Keeper provides software tools to help users organize rental-related information, including financial tracking, reporting features, and related workflows. Features may change over time. We may suspend or discontinue parts of the Service with reasonable notice where practicable.
2. Accounts
You must provide accurate registration information and keep your credentials confidential. You are responsible for activity under your account. Notify us promptly of unauthorized use. We may suspend or terminate accounts that violate these Terms or pose security risk.
3. Acceptable use
You agree not to:
- Use the Service in violation of law or third-party rights
- Attempt to gain unauthorized access to systems, data, or other users’ accounts
- Upload malware, overload infrastructure, or interfere with the Service
- Scrape, resell, or reverse engineer the Service except as permitted by law
- Use the Service to send spam or deceptive communications
4. Your content
You retain ownership of data and content you submit (“User Content”). You grant us a limited license to host, process, back up, and display User Content solely to provide and improve the Service. You represent that you have the rights needed to submit User Content.
5. Fees and trials
Some features may be free and others may require a paid plan. Fees, billing cycles, and taxes will be presented at purchase. Unless stated otherwise, subscriptions renew until cancelled. We may change pricing with advance notice as required by law.
6. Third-party services
The Service may integrate with third parties (for example bank connectivity). Those services are governed by their own terms and privacy policies. We are not responsible for third-party products or outages.
7. Intellectual property
Manor Keeper and its licensors own the Service, including software, branding, and documentation. Except for the limited rights granted in these Terms, no rights are transferred to you.
8. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW.
9. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MANOR KEEPER AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY. OUR AGGREGATE LIABILITY FOR CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US $100), EXCEPT WHERE PROHIBITED BY LAW.
10. Indemnity
You will defend and indemnify Manor Keeper against claims, damages, and expenses (including reasonable attorneys’ fees) arising from your User Content, your use of the Service in breach of these Terms, or your violation of law or third-party rights.
11. Termination
You may stop using the Service at any time. We may suspend or terminate access for breach of Terms, non-payment where applicable, or operational reasons. Provisions that by nature should survive (including disclaimers, limitations of liability, and indemnity) will survive termination.
12. Governing law and disputes
These Terms are governed by the laws of the jurisdiction in which Manor Keeper operates, without regard to conflict-of-law rules, except where consumer protection laws require otherwise. Courts in that jurisdiction have exclusive venue, unless applicable law requires a different forum.
13. Changes
We may modify these Terms by posting an updated version. If changes are material, we will provide notice as required by law. Continued use after the effective date constitutes acceptance of the revised Terms.
